The Position:Based in India, the Corporate Paralegal is responsible for the coordination and management of Lumine’s corporate governance, compliance and regulatory affairs in India. The incumbent will record and maintain legally compliant records and minutes of the multiple companies in India (including recording and distributing meeting minutes, creating and submitting various documents, reports and presentations for approval, maintaining corporate records, and fulfilling any other duties required at the direction of Lumine Group's General Counsel) as well as acting as a liaison between the Lumine Group's General Counsel and all applicable regulators in their capacity as a non-executive Director. Other duties may be assigned, as necessary
The Candidate:The position requires an experienced, articulate, self-motivated individual who possesses strong organizational skills, attention to detail, and comfortable working in various jurisdictions. The candidate must have excellent interpersonal skills, and the ability to work independently and in a team environment.
The candidate must be a certified Company Secretary registered with the Institute of Company Secretaries of India . The incumbent will carry out in-house duties as a legal and compliance expert in India. The position requires a strong understanding of local (Indian) and global corporate laws, securities laws, capital market and corporate governance and related regulatory compliance obligations.
Job DutiesAct as a non-executive Director for legal entities in India and other jurisdictions in Asia, owned by Lumine Group.Perform company secretary functions including organizing and facilitating board and committee meetings, for all required legal entities as assigned by Lumine Group General Counsel.Assist in the preparation of shareholder and board meetings (as required) for multiple legal entities in India.Record and maintain all corporate records including minute books of the legal entities in India as designated by Lumine Group General Counsel.Sign a copy of final and approved minutes and ensure a copy is maintained in corporate records.Convene and attend board meetings (where required).Filing forms and returns with Registrar of Companies.Assist and advise the Lumine Group General Counsel in ensuring good corporate governance and in complying with the corporate governance requirements and best practices.Providing practical and commercial solutions regarding corporate governance and other legal or compliance matters as relevant.Register with public offices.Liaise with external advisors including tax advisors and auditors.Liaising with regulatory authorities.Ensure all required legal documentation is accurate, up-to-date, and adequate.Monitor changes in the relevant legislation & the regulatory environment and initiate appropriate action.Submit reports to the Lumine Group General Counsel as requested.Other duties, relevant to the position, shall be assigned as required.
Requirements:Bachelor's Degree in applicable field (communications, business administration, law).Membership with the Institute of Company Secretaries of India (ICSI).Minimum 5+ years as a corporate secretary or similar experience.Demonstrate a solid understanding of legal terminology, ethics, and integrity.Well versed with the provisions of Companies Act, 2013 (Act).Ability to interpret and analyze the provisions of the Act and advise accordingly.Exposure to SEBI, FEMA and MCA compliance.Experience handling Statutory and Secretarial Audit.Ability to prioritize and manage time efficiently.Ability to manage multiple projects with shifting deadlines.Exemplify strong attention to detail and judgement.Commercial awareness and strong business acumen.Discretion when handling confidential information.Ability to meet project objectives within designated constraints, including managing legal and commercial needs.Ability to perform research and analysis efficiently and practically.Ability to enforce rules, policies, and procedures.Maintain a positive and professional image at all times.
Work ConditionsAbility to work in/accommodate North American and European time zones.Ability to travel up to 5% of the time internationally to attend Lumine Corporate event.Local travel may be required up to 15% to satisfy document filing, mailing, and/or notary.
